Terms of Service

1. Acceptance

These Terms of Service are entered into between you and Duhbi LLC, a New Mexico limited liability company, with its principal place of business at 500 4th Street NW, Albuquerque, NM 87102, USA ("Duhbi", "we", "us", "our").

By creating a Duhbi account, accessing the dashboard, or sending a message through our platform, you agree to these Terms of Service. If you don't agree, don't use the service. If you're agreeing on behalf of a company, you represent that you're authorised to bind that company.

2. What Duhbi provides

Duhbi is a software platform that runs a structured order-intake workflow on your WhatsApp Business number. We:

• Connect your WhatsApp Business Account through Meta's Embedded Signup.
• Receive incoming messages, generate replies, and send them through Meta's WhatsApp Business Platform.
• Provide a dashboard for monitoring conversations, managing orders, configuring workflows, and exporting data.
• Sync confirmed orders to your Google Sheet (when you enable it).
• Send notifications to your phone for new orders, hot leads, escalations, and operational alerts.

3. Your account

• You must be 18 or older and operating a legitimate business.
• You're responsible for all activity on your account, including content you or your team send.
• Keep your login credentials secure. Notify us immediately at security@duhbi.com if you suspect unauthorised access.
• You may add additional team members under your subscription. You're responsible for their actions.

4. Meta Platform Compliance

Duhbi operates entirely on Meta's official WhatsApp Business Platform. By using Duhbi you also agree to:

• WhatsApp Business Messaging Policy — including rules on opt-in, message templates, and conversation windows.
• WhatsApp Business Solution Terms — Meta's terms for businesses using the Cloud API.
• WhatsApp Commerce Policy — restrictions on what products and services may be sold via WhatsApp.

You acknowledge that:

• Meta — not Duhbi — is the ultimate authority over your WhatsApp Business Account.
• Meta may apply quality ratings, throttle messaging limits, suspend, or remove your number for policy violations independently of Duhbi.
• You must obtain valid opt-in from any recipient before sending business-initiated messages (utility, marketing, or authentication templates).
• You must not use Duhbi to send spam, unsolicited bulk messages, or content that violates the Commerce Policy (e.g., adult goods, weapons, certain regulated products).

Repeated or serious Meta policy violations are grounds for Duhbi to suspend or terminate your account.

5. Acceptable use

You agree to use Duhbi in compliance with our Acceptable Use Policy, which forms part of these Terms. Prohibited activities include unsolicited bulk messaging, illegal content, harassment, fraud, scraping, reverse engineering, and any use that puts your or other sellers' WhatsApp numbers at risk.

6. Pricing, payment, and refunds

Billing. Subscription fees are billed monthly in advance in US Dollars. Pricing tiers are on the pricing page. Meta charges separate per-conversation fees on the WhatsApp Business Platform — these are passed through at cost or included in your tier as stated on the pricing page.

Price changes. We may change pricing with 30 days' notice. The new price applies to your next billing period; you may cancel before it takes effect.

Cancellation. You may cancel your subscription at any time from your dashboard. Cancellation takes effect at the end of your current billing period; access continues until then.

Refunds. Monthly subscriptions are non-refundable for partial periods. Annual subscriptions (when offered) are refundable within 14 days of initial purchase, prorated thereafter only if required by law.

Free trial. The 14-day Growth tier trial is no-charge. No refund is needed if you cancel before trial end.

Disputed charges. Contact support@duhbi.com within 30 days of the charge.

Late payment. Late payments may result in suspension after a 7-day grace period.

7. Your data and content

• You own your data. Duhbi processes it on your behalf as a data processor under our Data Processing Agreement.
• You grant Duhbi a non-exclusive, worldwide license to process your data solely to provide the service.
• We do not sell your data, do not use end-customer message content for cross-tenant model training, and do not share data with third parties except as listed in the DPA.
• You can export and delete your data from the dashboard at any time.

8. Service availability

We aim for 99.5% uptime on our platform. We don't guarantee uninterrupted service. Planned maintenance is announced in advance. We're not liable for outages caused by third parties (Meta, Supabase, Google, OpenAI, Anthropic, your hosting/network providers, etc.).

9. Intellectual property

Duhbi (the software, dashboard, brand, documentation) is our intellectual property. You don't get any rights to it beyond the limited license to use the service. You may not copy, modify, or reverse-engineer the platform.

WhatsApp and the WhatsApp logo are trademarks of Meta Platforms, Inc. Duhbi is an independent Meta Tech Provider, not affiliated with, endorsed by, or sponsored by Meta.

10. Termination

• You can cancel your subscription at any time from the dashboard.
• We may suspend or terminate accounts for violation of these Terms, the Acceptable Use Policy, Meta's policies, non-payment, or fraudulent activity.
• On termination, you can export your data for 30 days. After that, we delete it (except where retention is legally required).

11. Disclaimers

The service is provided "as is" and "as available". We don't guarantee any specific business outcome (orders, revenue, response rates). The workflow uses automated AI inference — outputs may occasionally be imperfect. You're responsible for reviewing escalations and overriding the workflow when needed.

12. Limitation of liability

To the maximum extent permitted by law, Duhbi's total liability for any claim is limited to the amount you paid us in the 12 months preceding the claim. We're not liable for indirect, incidental, consequential, or special damages — including lost profits, lost data, or business interruption.

13. Indemnification

You agree to defend, indemnify, and hold Duhbi harmless from claims arising out of your content, your use of the service in violation of these Terms or Meta's policies, or your violation of any law or third-party rights.

14. Governing law and disputes

These Terms are governed by the laws of the State of New Mexico, USA, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or your use of Duhbi shall be brought exclusively in the state or federal courts located in Bernalillo County, New Mexico, and you consent to personal jurisdiction in those courts. Nothing in this section limits any mandatory consumer protection rights you have under the laws of your country of residence. We'll first try in good faith to resolve any dispute by email or call before either side files anything.

15. Changes

We may update these Terms. Material changes are emailed and posted in the dashboard at least 30 days before they take effect. Continuing to use Duhbi after the effective date constitutes acceptance.
